fedDSP End-User License Agreement (EULA) — v2.1

1. Read First
THIS IS A LEGAL AGREEMENT BETWEEN YOU (THE LICENSEE) AND FEDDSP. BY DOWNLOADING, INSTALLING, ACTIVATING, OR USING THE SOFTWARE, YOU ACCEPT THIS AGREEMENT. IF YOU DO NOT ACCEPT THESE TERMS, DO NOT INSTALL OR USE THE SOFTWARE.
2. Definitions
- Software: fedDSP executable software (including plug-ins), modules, content (e.g., presets/IRs), updates, and documentation supplied by fedDSP.
- Licence / License: the right to use the Software under this Agreement.
- Personal Licence: a named, non-transferable (except as expressly allowed) licence granted to the individual purchaser.
- Device: a computer you own or control.
- Activation / Deauthorise: enabling or disabling a Device for use with the Software. Deauthorise is available inside any plugin via the “i” button in the top bar.
- NFR: Not for Resale. EDU: Educational.
- Business Customer: a user acquiring the Software wholly or mainly for use in trade, business, craft or profession (non-consumer).
- Consumer: a natural person acting for purposes wholly or mainly outside their trade, business, craft or profession.
3. Licence Grant
Subject to this Agreement and payment of applicable fees, fedDSP grants you a personal, non-exclusive, non-transferable licence to install and use the Software on up to three (3) Devices that you own or control, provided that only you (the named buyer) use the Software. Concurrent or alternating use by anyone other than you is prohibited. You may make reasonable backup copies for archival purposes (preserving all notices).
Temporary studio/session use. You may temporarily install the Software on a third-party machine solely for your session provided you Deauthorise and uninstall immediately after the session (and in any event within 24 hours). Failure to both uninstall and Deauthorise constitutes unauthorised use.
Examples (illustrative):
- Allowed: your studio desktop + your live laptop + your home rig (3 Devices), used only by you.
- Not allowed: your assistant, clients, or a shared studio room computer using your licence; unattended server-side or cloud rendering.
If the Software is an upgrade, you must hold a valid licence for the product being upgraded.
4. No Multi-Seat/Site Licences
fedDSP currently offers licences only to individuals. Multi-seat, site, institutional or classroom licences are not offered under this EULA. If you require institutional rights, contact info@feddsp.com.
5. Ownership & IP
The Software is licensed, not sold. fedDSP and its licensors retain all intellectual property rights in the Software. All rights not expressly granted are reserved.
6. Restrictions
You must not: (a) modify, adapt, translate, decompile, disassemble, or reverse engineer the Software except to the extent permitted by applicable law for interoperability; (b) rent, lease, lend, sublicense, sell, distribute, share or otherwise make the Software, licence files/keys, or installers available to any third party; (c) remove or alter proprietary notices; (d) circumvent or attempt to circumvent licence controls, usage limits, or technical protection measures; (e) use the Personal Licence for any server-side, automated, cloud/hosted, batch, render-farm, or “cloud plugin” service; (f) permit anyone other than you to use the Software (including shared studio machines) without a separate licence from fedDSP.
Personal licence; no sharing. The Licence is personal to you. Do not share, publish, or redistribute the Software, installers, or licence data.
7. Licence Transfer
You may request a one-time permanent transfer of a whole purchase (no partial/bundle splits) by contacting support@feddsp.com. Transfers are subject to fedDSP’s prior approval (anti-fraud checks, proof of purchase, good standing) at fedDSP’s discretion, and a £10 non-refundable transfer fee.
- Cool-down: no transfer within 90 days of purchase.
- One-time: once transferred, the licence cannot be transferred again.
- Process: on approval, you must transfer all copies/updates and retain none.
- NFR/EDU/beta licences are not transferable.
- fedDSP may refuse a transfer where reasonable grounds exist (including suspected fraud, breach, or chargeback risk).
8. Standards & Presets
Tools/presets intended to assist with industry standards (e.g., loudness targets) are aids only. fedDSP does not warrant that processed audio will comply with any present or future standard or platform requirement.
9. Support (not a warranty)
fedDSP may, at its sole discretion, provide email support to the original purchaser for up to 12 months from purchase. Support is not a contractual entitlement and is offered only on a good-will basis. fedDSP makes no guarantee of response time, resolution, or availability of updates. Any assistance is provided “as is” and does not constitute a warranty or create any additional rights beyond those required by law.
Major upgrades may be charged separately.
10. Privacy, Registration & Identity Display
- Offline operation: The Software operates offline and does not transmit analytics or audio content.
- Purchase & licence administration: When you buy/register, we process necessary personal data (e.g., name, email, order/activation identifiers) to administer licences, prevent fraud, and provide support under UK GDPR. See our Privacy Notice or email privacy@feddsp.com for rights requests.
- On-screen identity: Within the plugin’s information/advanced panel, the Software may display the licensee’s name, surname, email, and registration date to identify the licensed copy and discourage sharing. This information is not embedded in or added to any audio output. If you share your licence or binaries, third parties may see your identity in-plugin.
- Technical measures: fedDSP may include non-personal technical watermarks/identifiers within binaries to help detect widespread unauthorised distribution.
11. Host/OS Compatibility & Lifecycle
The Software depends on third-party hosts/OSes (DAWs, plug-in formats). fedDSP supports the last two (2) major versions of macOS and Windows and the last two (2) major versions of each supported DAW/plug-in format, as published on our website. fedDSP is not responsible for changes in hosts/OSes that affect compatibility; we may release updates to maintain compatibility but are not obliged to support obsolete hosts/OS versions.
12. Updates & Changes; Revalidation
Updates or patches may be required for security/licensing. Minor updates are typically free; major upgrades may be paid. Some features may be labelled beta or pre-release and provided “as is.” fedDSP may modify or discontinue features with reasonable notice where practicable. fedDSP may request manual revalidation (offline, challenge/response) and may deactivate licences where there is evidence of misuse or breach.
13. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED “AS IS.” FEDDSP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND DOES NOT GUARANTEE THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED OR ERROR-FREE.
Consumer notice: Nothing in this Agreement excludes or limits your statutory rights, including under the UK Consumer Rights Act 2015.
14. Remedies, Returns & Cooling-Off
Except for statutory consumer remedies, your exclusive remedy is support, replacement, or—at fedDSP’s option—refund.
Digital content cooling-off. If you buy directly from fedDSP, you may have a legal cooling-off period; however, by requesting immediate delivery/activation you acknowledge loss of the right to cancel once download or activation begins (as permitted by law). No refunds are given once activated or downloaded, except where required by applicable law (including the laws of England & Wales and any mandatory consumer protections that apply). Any refund deactivates the licence.
Purchases from resellers are subject to their policies.
15. Anti-Piracy; Enforcement & Liquidated Damages
If you publicly post or distribute the Software, licence files/keys, or installers (e.g., websites, forums, or file-sharing services), or otherwise engage in piracy or licence-sharing, fedDSP may seek: injunctive relief, delivery up, account of profits, recovery of actual losses and reasonable legal/enforcement costs, immediate termination and blacklisting of your licence(s), and liquidated damages up to £50,000 GBP per public posting as a genuine pre-estimate of loss, subject to the court’s discretion, to the extent permitted by law. This is without prejudice to fedDSP’s rights to additional statutory remedies, including additional damages for flagrancy under the Copyright, Designs and Patents Act 1988.
Where we detect misuse (including identity data visibly present in-plugin on third-party machines), we may deactivate your licence and pursue enforcement.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FEDDSP WILL NOT BE LIABLE FOR: (A) INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL LOSSES; (B) LOSS OF PROFITS, BUSINESS, GOODWILL, DATA, OR SAVINGS; OR (C) COST OF SUBSTITUTE GOODS/SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
For Business Customers, and subject to non-excludable rights, fedDSP’s total aggregate liability arising out of or in connection with the Software or this Agreement will not exceed the fees paid in the 12 months preceding the claim.
Nothing limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or other liability that cannot be limited by law.
This Section is subject to your mandatory consumer rights (including CRA 2015), which prevail where applicable.
17. Termination
This Agreement terminates automatically if you materially breach it. Upon termination, you must stop using and destroy all copies of the Software. Sections that by nature survive (Ownership, Restrictions, Privacy, Disclaimer, Liability, Governing Law, Export, Anti-Piracy, Updates, Transfers) will survive.
18. NFR / Trial / EDU (strict)
NFR, evaluation/beta, or EDU licences are for the stated purpose only, may be time-limited, and must not be used for commercial work unless expressly permitted in writing. NFR/EDU licences are not transferable. fedDSP may watermark beta/EDU builds.
19. Content, Presets & IRs
fedDSP grants you a royalty-free licence to use included presets/processing and impulse responses in your own audio works, including commercial releases. You may not resell, share, extract, or redistribute the presets/content/IRs themselves (including as competing products, preset/sample packs, or embedded libraries).
20. Export & Sanctions
You must comply with all applicable export control and sanctions laws and regulations of the United Kingdom (including the Export Control Order 2008) and any other relevant jurisdiction (including EU/OFAC-equivalent), and not use/export the Software where prohibited by sanctions authorities.
21. Third-Party Components & Trademarks
The Software may include third-party components and open-source software subject to their own licences. Where those terms conflict with this EULA for that component, those terms govern. Third-Party Notices are available on request.
VST is a trademark of Steinberg Media Technologies GmbH. AAX and RTAS are trademarks of Avid Technology, Inc. Audio Units is a trademark of Apple Inc. Other names may be trademarks of their respective owners.
22. Taxes & Pricing
Prices are shown exclusive or inclusive of VAT as stated at checkout. You are responsible for any applicable taxes. Transfer fees are non-refundable.
23. Force Majeure
fedDSP will not be liable for delay or failure caused by events beyond its reasonable control (including acts of God, outages, third-party platform changes, or government action).
24. Notices; Marketing vs Contract
Notices may be given by email. Marketing statements (web, social, ads) do not modify this Agreement; only a written amendment signed by fedDSP has contractual effect.
25. Versioning & Changes
We may update this EULA. Material changes apply prospectively (to future purchases/updates). We will post the effective date/version and a summary of material changes.
26. Governing Law & Jurisdiction
This Agreement and any dispute or claim (including non-contractual disputes) are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction; consumers domiciled elsewhere may benefit from mandatory consumer protections in their country of residence where applicable. fedDSP will enforce its rights from the UK.
27. Entire Agreement; Language; Assignment; Severability; No Waiver
This is the complete agreement regarding the Software and supersedes prior statements. The English version controls; translations are for convenience only. fedDSP may assign this Agreement (e.g., reorganisation or sale of business); you may not assign without consent. If any term is found unenforceable, the remainder stays in effect, and the affected provision will be enforced to the maximum extent permitted (“blue-pencil”). No failure to enforce is a waiver.
